Terms and Conditions
Welcome to BizCollab (the "Platform"). These terms govern your access to and use of the Platform. By using our site, registering an account, posting a Hurdle (defined below), or unlocking a listing on the Platform, you agree to be bound by these terms.
1. Parties and Eligibility
The Provider: BizCollab Pty Ltd ACN 694 704 919 (referred to as "we," "us," or "our").
The Users: Established Australian businesses posting on the Platform ("Industry Leaders") and independent technology professionals ("AI Specialists") (referred to as “you” and “your”).
A “Hurdle" refers to the specific operational bottleneck, project description, or technical requirement posted on the Platform by an Industry Leader.
Legitimate Business Entity: In order to use the Platform, you must be:
(a) physically located in Australia;
(b) incorporated or a resident for taxation purposes in Australia.
B2B Warranty: We operate strictly as a Business-to-Business (B2B) platform. By joining the Platform as either an Industry Leader or an AI Specialist, you warrant to us that you are an authorised representative acting on behalf of a Legitimate Business Entity, and you are capable of binding that entity to these terms.
Specialist Verification Requirement: AI Specialists must possess and provide a valid Australian Business Number (ABN) to achieve and maintain a "Verified" badge on the Platform.
2. The Nature of Our Service (Introduction Facilitation)
We operate strictly as a B2B introductory digital directory connecting Industry Leaders with AI Specialists. The Industry Leader may post an operational challenges with respect to the business ("Hurdle") and an AI Specialist may elect to pitch solutions. Off-Platform Execution: We are not an agency, employer, or party to any subsequent agreements formed between users.
No Endorsement: We do not provide technical advice, nor do we guarantee the information provided by an Industry Leader or the services provided by any AI Specialist. We do not verify the truth, budget accuracy, or technical viability of the operational "Hurdles" posted by Industry Leaders. We do not guarantee or provide any warranty with respect to any information entered onto the Platform by a party other than us.
By using the Platform, you expressly consent to our use of trusted third-party service providers including Stripe for payment processing and Sharetribe/AWS for Platform hosting.
3. Platform Mechanics, Fees, and Payments
Hurdle Posting: The fee incurred by an Industry Leader to post a Hurdle is $0. We may change the fee to post a Hurdle at any time in our sole discretion.
Unlock Fees: To view the full details of a Hurdle and initiate contact with the relevant Industry Leader, the AI Specialist agrees to pay us an "Unlock Fee" (as displayed at the time of purchase). The payment of the Unlock Fee is solely in consideration for immediate access by the AI Specialist to the digital information of the Hurdle and a digital introduction to the relevant Industry Leader.
Upon payment of the Unlock Fee, the AI Specialist can review the Hurdle posted by the Industry Leader (“Unlock”). Payment of the Unlock Fee does not guarantee a response, a meeting, or a successful project contract.
To ensure quality, we reserve the right to cap the number of Unlocks per Hurdle. Payments: All fees payable to us are processed via our secure third-party provider (Stripe Connect). Fees are in AUD and include GST unless stated otherwise.
Refunds & Credits: The Unlock Fee is a payment for access to digital information and platform messaging facilitation. All sales are final. Refer to our Refund Policy for further information.
4. User Obligations & Internal Messaging Conduct
Accuracy: You must provide true, accurate, and current information. Industry Leaders must post genuine Hurdles and must not use the Platform for general advertising.
Messaging System: Upon a successful Unlock, we provide you with an internal text-based messaging system. This is strictly for initial introductions and high-level scoping.
Data Security: Users must not upload, share, or transmit sensitive information. proprietary intellectual property (IP), corporate databases, patient records, or system passwords within the BizCollab messaging system. Users must comply with our Privacy Policy and the Privacy Act1988 (Cth) in using the Platform.
Prohibited Use: You may not use the Platform to scrape data, send unsolicited bulk communications (spam), attempt to bypass the payment gateway, or engage in misleading or deceptive conduct.
We reserve the right to remove any Hurdles from the Platform that do not comply with these terms. You indemnify us against any loss suffered by us arising from or in relation to your breach of these terms.
User Responsibility: Because the Platform provides an introductory service, you are responsible for transitioning to secure, off-platform channels before exchanging personal or sensitive information or confidential information.
5. Verification and Badging
BizCollab may offer a "Verified" badge to AI Specialists. This badge indicates solely that the user has provided an active Australian Business Number (ABN), technical credentials (such as a GitHub username, Hugging Face profile, or portfolio URL), and proof of independent Professional Indemnity (PI) Insurance to BizCollab at the time of verification. The collection of these credentials does not constitute an audit, warranty, or endorsement of their coding proficiency or technical skills. Maintaining active PI insurance and accurate portfolio links is the sole responsibility of the AI Specialist. In making an application for a Verified badge, the AI Specialist warrants to us that it meets the criteria set out in this clause and that it will immediately inform us if it no longer meets those criteria.
6. Intellectual Property
We own all rights, title, and interest in the Platform, including our logo, design, and proprietary architecture. You retain ownership of the content you post, but you grant us a non-exclusive, worldwide, royalty-free licence to display that content to other verified users of the Platform.
7. Dispute Resolution
User-to-User Disputes: Any disputes regarding project delivery, code quality, or financial remuneration for services are strictly between the Industry Leader and the AI Specialist. We will not mediate, arbitrate, or participate in any disputes between the parties.
User-to-BizCollab Disputes: If a dispute arises between you and us regarding the use of the Platform, you must first attempt to resolve the issue through direct negotiation. If unresolved after 14 days, the parties agree to participate in a formal mediation process in Victoria, Australia, before commencing any legal proceedings. The mediator will be appointed by the agreement of the parties or failing agreement within 7 days, by us. The parties will equally bear the cost of such mediation.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of these terms is limited to the total fees paid by you to us in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential loss (such as loss of profit, loss of data, or business interruption) resulting from your use of the Platform, platform downtime, or your interactions with other users of the Platform.
You release us from any claim that you have against a user of the Platform or any loss that you may suffer arising from or in relation to posting a Hurdle, Unlocking a Hurdle or communicating with another user of the Platform through the BizCollab messaging system.
You indemnify us for any loss suffered by us arising from or in relation to your breach of these terms, wrongful act or omission or illegal act or omission.
9. Australian Consumer Law (ACL)
Nothing in these terms is intended to exclude, restrict, or modify any non-excludable statutory rights you may have under the Australian Consumer Law.
10. Termination
We reserve the right to suspend or terminate your account, without notice or refund, if you breach these terms, fail our verification processes, or engage in conduct that we deem harmful (in our sole discretion) to the Platform, BizCollab users or to our reputation.
11. Governing Law
These terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Victoria division of the Federal Court of Australia. You may not object to the jurisdiction of any of those courts on the grounds that it is an inconvenient forum or that it does not have jurisdiction.
